Private Client Advisory & Wealth Structuring for Energy Executives

Nykitenko Legal advises energy executives, trading company founders and high-net-worth individuals whose personal wealth, family assets and international holdings require a legal structure separate from the operational risks of their businesses.

The work covers asset-holding and trust structures, cross-border succession planning, tax residency transitions and Source of Wealth documentation for private banking relationships. Each structure is developed around the client’s ownership profile, jurisdictions, family succession objectives and exposure arising from commercial trading activities.

Who Needs Private Client Wealth Structuring

This service is designed for energy trading founders, senior executives and HNWIs whose personal wealth, family assets and international holdings need to be structured separately from commercial trading exposure and across more than one jurisdiction.

You Require This Service If:

A significant portion of your personal or family wealth remains directly exposed to the ownership or liability structure of an energy trading business.

You are restructuring personal holdings through trusts, private funds or dedicated asset-holding vehicles and need the arrangement to remain legally transparent and defensible.

Your family owns companies, investments or other assets across several jurisdictions and succession could result in fragmented ownership or conflicting legal and tax treatment.

You are changing tax residence while retaining businesses, investments or income sources in other countries.

A Swiss or Western European private bank requires a documented Source of Wealth and beneficial ownership profile before opening, maintaining or expanding a banking relationship.

A major commercial dispute, clearing exposure or other business liability has increased the need to review the legal separation between operating assets and personal family capital.

We Provide Private Wealth Structuring for Energy Executives

Asset Insulation, Trusts & Private Funds

We structure trusts, private funds and asset-holding arrangements intended to create a clear legal separation between personal family wealth and the liabilities arising from commercial trading operations.

The client receives a documented ownership architecture identifying the relevant holding vehicles, beneficial ownership, control arrangements and movement of assets between personal, family and commercial structures. Where Switzerland forms part of the structure, foreign trusts are recognised under the Hague Trust Convention and Swiss private international law; the effectiveness of any asset-protection arrangement still depends on the governing law, timing and circumstances of the transfer.

We design succession structures for clients holding companies, investments and family assets across multiple jurisdictions, with the objective of preserving continuity of ownership and reducing avoidable fragmentation and tax friction.

The client receives a succession map showing how key assets and corporate interests are held, which jurisdictions and succession rules may become relevant, and where ownership or inheritance arrangements require coordination before succession occurs. Within the EU succession framework, habitual residence generally determines the applicable succession law, while a person may in qualifying cases choose the law of their nationality; tax treatment remains a separate issue.

We structure tax-residency transitions for clients whose personal residence, corporate interests and income sources span several jurisdictions, and prepare Source of Wealth documentation for private banking compliance.

The client receives a coordinated residency and wealth-documentation file covering relevant ownership interests, income and capital sources, supporting transaction records and beneficial ownership information. Tax consequences can be coordinated through Tax Law & International Structuring.

Swiss financial intermediaries are required to identify contracting parties and beneficial owners and to clarify the economic background and purpose of unusual or higher-risk relationships and transactions.

Why Clients Choose Nykitenko Legal for Private Wealth Structuring

For energy executives and trading founders, personal wealth planning cannot be separated from the ownership and liability structure of the operating business.

Separation of Personal and Commercial Exposure

The structure is designed around a clear legal boundary between family assets, investment holdings and the liabilities associated with active trading operations.

Cross-Border Ownership Perspective

Personal wealth, corporate interests, trusts and succession arrangements are reviewed across the jurisdictions in which the client actually holds assets or maintains residence.

Private Banking Compliance Readiness

Source of Wealth, beneficial ownership and supporting documentation are organised with the requirements of Swiss and Western European private banking relationships in mind.

Long-Term Family Wealth Continuity

Asset ownership and succession planning are structured together to reduce fragmentation of family holdings and preserve continuity across generations and jurisdictions.

Case Study: More Than $4.5 Million in Family Assets Separated from Trading Operations

Challenge

The founder of a high-volume energy trading house needed to separate personal family capital from potential counterclaims and margin-related exposure arising from the company’s trading operations.

Strategy

Nykitenko Legal developed a private asset-holding architecture through the Swiss financial ecosystem in Zug, using fiduciary and trust structures to establish a separate legal perimeter around the client’s family assets.

Outcome

Personal family assets valued at more than $4.5 million were transferred into the dedicated private wealth structure and separated from the operational liability perimeter of the primary trading business.

Private Client Wealth Structuring FAQ

Can a Trust Completely Protect Personal Assets from Business Creditors?

No structure should be treated as providing absolute protection. The legal effect of a trust or other holding arrangement depends on the jurisdiction, governing law, timing and circumstances in which assets were transferred, as well as applicable creditor and insolvency rules.

For Switzerland-linked structures, foreign trusts are recognised under the Hague Trust Convention, and Swiss legislation specifically addresses trusts within private international law and debt-enforcement and bankruptcy law. Asset separation therefore has to be designed before relying on it as part of a broader personal wealth structure.

Switzerland recognises trusts created under foreign law pursuant to the Hague Trust Convention. The Convention has been in force for Switzerland since 1 July 2007, alongside corresponding amendments to Swiss private international, debt-enforcement and bankruptcy legislation.

The appropriate trust law and trustee arrangement therefore have to be selected as part of the wider cross-border structure rather than assuming that a generic “Swiss trust” is available.

The appropriate structure depends on how the operating company, shares, investment assets and family holdings are currently owned and where the principal liabilities arise.

For a trading-company founder, this may require reviewing the ownership and governance of the operating business alongside the separate personal wealth structure. Corporate restructuring and governance issues can be coordinated through Corporate & Business Law Advisory.

A succession review should identify where the individual is habitually resident, their nationality or nationalities, where material assets and corporate interests are located, and which succession rules may apply.

Under the EU Succession Regulation, the law of the deceased’s habitual residence generally governs the succession, although a person can generally choose the law of their nationality. The Regulation is intended to bring a cross-border succession under a coherent applicable-law framework, but it does not itself harmonise inheritance taxation.

A Source of Wealth profile explains how the client accumulated their overall wealth and supports that explanation with documentation. For an energy entrepreneur, relevant evidence may include ownership records, financial statements, dividends, transaction proceeds or other documented sources appropriate to the client’s actual history.

Swiss AML rules require financial intermediaries to identify beneficial owners and, in circumstances requiring enhanced clarification, examine the economic background and purpose of relationships or transactions. FINMA continues to identify cross-border private wealth management as an area of significant AML risk.

Not necessarily. Tax residence is determined under the relevant domestic rules, and a cross-border move can leave continuing tax consequences connected with income sources, companies, investments or assets in another jurisdiction.

Where more than one country may regard an individual as resident, an applicable double-tax treaty may also affect the analysis. A residency transition should therefore be reviewed together with the client’s existing corporate interests, income flows and wealth structure rather than as a change of address alone.
