Transnational Contract Law & Asset Due Diligence Audits

Nykitenko Legal advises investors, M&A transaction leads and energy-intensive businesses acquiring, divesting or contracting around high-value energy and infrastructure assets.

The work focuses on legal risks hidden below the headline transaction: legacy grid connection obligations, active licences, pipeline and infrastructure rights, historical contract chains, liability allocation and regulatory provisions capable of changing the commercial value of an asset.

Who Needs Energy Asset Due Diligence & Contract Audit Support

This service is designed for buyers, sellers, infrastructure investors, corporate M&A teams and procurement leaders dealing with high-value energy assets or cross-border contractual structures where unresolved legal exposure can materially affect valuation or closing.

You Require This Service If:

You are acquiring or divesting a power plant, generation portfolio, grid-connected asset, storage facility, pipeline interest or other energy infrastructure and need to identify liabilities before signing or closing.

The target relies on legacy grid connection agreements, capacity rights, licences or operational contracts whose continued validity is material to the asset value.

You suspect historical contracts contain uncapped liabilities, adverse indemnities, change-of-control restrictions or obligations that have not been reflected in the transaction valuation.

Your transaction spans several jurisdictions and requires a coherent governing-law, liability and indemnity structure across multiple commercial agreements.

Existing contracts were drafted under older grid or market requirements and need to be checked against the regulatory framework currently applicable to the asset.

Due diligence has identified a legal defect that must be reflected in the SPA, transaction price, conditions precedent or post-closing risk allocation before the acquisition proceeds.

We Provide Transaction-Level Legal Audits for Energy Assets

A high-value asset cannot be assessed from the SPA alone. We review the contractual, regulatory and infrastructure rights that determine whether the buyer is acquiring the asset on the commercial and legal assumptions reflected in the transaction price.

High-Value Energy Asset Due Diligence

We conduct legal due diligence of generation facilities, pipeline and transmission-related rights, active energy licences and the contractual arrangements supporting operation of the asset.

The review follows the relevant contract tree, including ownership and operating documentation, grid or pipeline access arrangements, licences, material commercial contracts, historical amendments and liabilities capable of surviving acquisition.

The client receives an identified-risk framework showing which issues require clarification, remediation, contractual protection or adjustment of the transaction terms before closing. Where the audit forms part of a broader capital deployment or acquisition structure, it may be coordinated with Cross-Border Energy Investments & Capital Advisory.

We draft and restructure international commercial agreements used in acquisitions, procurement and high-value infrastructure transactions across multiple jurisdictions.

The client receives a coordinated contractual framework covering governing law, liability caps, indemnities, warranties, conditions precedent, termination rights, dispute provisions and cross-border enforcement considerations. Where the work concerns the detailed drafting or restructuring of an underlying power, gas, PPA, supply or infrastructure contract, see Energy Contract Legal Review.

For contractual obligations within the scope of the EU Rome I Regulation, parties may generally choose the governing law of their contract, although mandatory rules and other statutory limitations can still apply.

We identify provisions in legacy contracts and infrastructure arrangements that no longer correspond to the regulatory requirements affecting the underlying asset and restructure the relevant documentation before the issue becomes a transaction obstacle or post-closing liability.

The client receives a remediation plan identifying the affected agreements, current regulatory requirement, contractual inconsistency and legal action required to correct or allocate the risk.

EU electricity connection requirements are governed by binding network codes, including the currently applicable Requirements for Generators Regulation. The framework is also evolving: ACER submitted proposed amendments to the RfG and Demand Connection codes in 2023 and to the HVDC code in 2024 for consideration by the European Commission.

Why Clients Choose Nykitenko Legal for Asset Due Diligence

The objective of an asset audit is not to produce a longer list of documents. It is to determine which contractual or regulatory issue can change the acquisition price, prevent closing or become the buyer’s liability after control of the asset changes hands.

Asset-Level Risk Analysis

The review connects contracts, licences, grid rights and historical amendments to the actual operation and valuation of the energy asset.

Transaction-Relevant Findings

Due diligence findings are prioritised according to their potential effect on closing, purchase price, warranties, indemnities, conditions precedent and post-closing exposure.

Contract Tree Review

Legacy documentation is examined as a connected contractual structure rather than as isolated agreements, making it easier to identify obligations transferred or preserved through successive amendments and transactions.

Regulatory Remediation Before Closing

Where a contractual or grid-compliance issue can be corrected before the transaction completes, the legal work moves from identifying the defect to restructuring the affected documents and allocating the remaining risk.

Case Study: €450,000 Legacy Grid Liability Identified Before Energy Asset Acquisition

Challenge

An international infrastructure fund was acquiring a major CEE energy asset and suspected that legacy grid connection arrangements contained structural liabilities that had not been reflected in the proposed transaction terms.

Strategy

Nykitenko Legal conducted an intensive due diligence review across the asset's historical contract tree and identified hidden grid connection compliance exposure valued at €450,000. The findings were incorporated into a renegotiation of the Share Purchase Agreement, including the transaction valuation and contractual allocation of the identified legacy risk.

Outcome

The acquisition proceeded at an adjusted discounted valuation, with the identified €450,000 exposure allocated away from the investor and contractual protection against subsequent financial and litigation claims arising from the legacy grid connection framework.

Energy Asset Due Diligence FAQ

What Should Legal Due Diligence Cover Before Buying an Energy Asset?

The review should follow the legal structure that allows the asset to exist and operate rather than limiting itself to corporate ownership documents.

Depending on the asset, this may include title and ownership rights, licences, grid or pipeline connection arrangements, capacity rights, material supply and offtake contracts, financing-related restrictions, litigation, change-of-control provisions, warranties, historical amendments and regulatory compliance.

The purpose is to identify which rights remain valid after closing, which liabilities transfer with the transaction and which issues require remediation or SPA protection.

It should not be assumed that it does.

The effect of an acquisition on a connection agreement depends on the jurisdiction, contractual wording, structure of the acquisition and rules of the relevant TSO or DSO. A share acquisition may also produce a different legal result from an asset purchase.

At EU level, connection network codes establish binding technical and regulatory requirements for grid users, but implementation and individual connection arrangements also involve national authorities and system operators.

Not necessarily.

A long operating history does not itself establish that every contractual provision remains aligned with current requirements. EU grid connection rules are legally binding, and the framework is undergoing further revision to address storage, distributed resources, offshore systems and other developments in the power system.

A transaction audit should therefore check both historical compliance and whether pending or current regulatory requirements create additional remediation or investment exposure.

The response depends on the nature and value of the risk.

A material issue may affect the purchase price, conditions precedent, warranties, specific indemnities, escrow or holdback arrangements, closing obligations or the allocation of post-closing responsibility between buyer and seller.

The important point is that a significant due diligence finding should be translated into the transaction documents rather than remaining only as a note in the legal report.

For contracts falling within the EU Rome I framework, the parties may generally choose the law governing their contractual relationship. If no valid choice has been made, Rome I provides rules for determining the applicable law according to the type and circumstances of the contract.

A governing-law clause does not necessarily eliminate mandatory provisions of another relevant jurisdiction, so cross-border agreements should also be reviewed against regulatory requirements connected to the asset and transaction.

A wider review may be required where the acquisition depends on EPC or O&M agreements, project financing, SPV or JV arrangements, lender requirements or infrastructure obligations that extend beyond the immediate acquisition documents.

In those transactions, asset due diligence can be coordinated with Legal Support for Infrastructure Projects & Energy Project Finance so that acquisition risk is assessed together with the contractual and financing architecture of the project.

Audit the Asset Before the Liability Becomes Part of the Deal

Send the proposed transaction structure, target asset, jurisdictions involved, available SPA or term sheet, material contracts, licences, grid or pipeline documentation and any legal issues already identified during due diligence.

Nykitenko Legal will assess the asset’s contractual and regulatory risk structure, identify liabilities requiring further investigation or remediation and determine how material findings should be reflected in the transaction documents.
